Real Estate Development

• MG&Co are the legal advisors in a private acquisition of land measuring approximately 304 acres, and the sub-division, registration and sale of the resultant sub-divisions. Our client is a real estate investment public company acquiring the beneficial interest in an agreement for the purchase of the property through an assignment. We have successfully rendered legal advisory services including negotiating and settling the terms of a complex tri-partite agreement and the attendant contract documentation. We have been retained to provide legal advisory services during the subsequent sub-division and registration process, and resultant sale transactions for the individual parcels.

• MG&Co are legal advisors in a proposed project for the development of a tourism resort and sports facilities in the Kenyan coastal region. The advisory services include advising on all applicable legislations and regulations, structuring the project proposal, advising on financing options and sources, the implementation plan(s) and the project documentation.

Mergers and Acquisitions

• MG&Co are legal advisors to a foreign venture capital company and its East African subsidiary on the acquisition of 51% equity in the first latex manufacturing company in East and Central Africa, currently in receivership. The target company is a joint venture between a public corporation and private shareholders. The legal advisory services include the negotiation and conclusion of shares acquisition and shareholders agreements, and the corporate restructuring of the target company. The transaction also encompasses the financial restructuring of its financial debt to remove the company from receivership into revenue generation. We have successfully negotiated and settled the terms of the acquisition, and are preparing contract documentation for execution.

Public – Private Partnerships (PPPs) and Joint Ventures

• MG&Co are legal advisors to a foreign venture capital company and its East African subsidiary on all aspects of a Public-Private Partnership (PPP) with a public corporation on the design, installation and commissioning of the electronic water metering units on a pilot project basis. The project is the first of its kind within the East African Community (EAC) and neighbouring countries.

• MG&Co are legal advisors to a foreign venture capital company and its East African subsidiary on the conceptualization and preparation of a project proposal on development of 2,000 low cost housing units using new eco-friendly building technologies by way of a PPP with a public corporation and the Ministry of Housing. The legal advisory services include advising on all applicable legislations, processes and procedures for seeking and obtaining regulatory approvals, and tax issues including waivers and exemptions.  

Financial Restructuring

• MG&Co are advising on a proposed financial restructuring of an insurance company (currently under statutory management) with the aim of having the statutory management lifted and reviving the company. Our client is a shareholder in the company. We have been retained to provide legal advisory services on all legal aspects of the financial restructuring, and also the disposal of the company’s fixed assets to improve the solvency status of the company.
